South East Idaho Terms of Use

These Terms of Use (“Terms”) are a legally binding agreement between you and South East Idaho App LLC, d/b/a South East Idaho (“South East Idaho,” “we,” “us,” or “our”) governing your access to and use of the South East Idaho mobile applications, websites, software, features, content, and related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy.

IMPORTANT: THESE TERMS INCLUDE A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 21. PLEASE READ THAT SECTION CAREFULLY.

If you do not agree to these Terms, do not use the Service.

1. About South East Idaho

South East Idaho is a local community platform designed to help people discover, share, and interact with information relevant to communities throughout Southeast Idaho.

The Service may include:

community posts and discussions;
groups;
comments and reactions;
local news and information;
local events;
business listings;
promotions and offers;
personalized and location-relevant content;
AI-powered features;
notifications;
advertising and sponsored content;
subscriptions or premium features;
sweepstakes, contests, drawings, and giveaways; and
other features introduced from time to time.

We may add, modify, or remove features as the Service evolves.

2. Eligibility

You must be at least 13 years old to use the Service.

If you are under 18, you may use the Service only with the permission of a parent or legal guardian.

Certain features may have higher age requirements.

Unless the applicable Official Rules expressly provide otherwise, South East Idaho sweepstakes, giveaways, and prize drawings are limited to individuals who are at least 18 years old and satisfy all other eligibility requirements in the applicable Official Rules.

You may not use the Service if applicable law prohibits you from doing so.

3. Your Account

Some features require an account.

You agree to:

provide accurate information;
maintain the security of your login credentials;
keep account information reasonably current;
not impersonate another person or organization;
not create deceptive or fraudulent accounts;
not create accounts for another person without authorization; and
promptly notify us if you believe your account has been compromised.

You are responsible for activity conducted through your account except to the extent caused by our own security failure.

We may require reasonable verification of identity, age, residency, or eligibility for particular features or Promotions.

4. Community Standards and Prohibited Conduct

You may not use the Service to post, transmit, promote, facilitate, or engage in content or conduct that:

violates applicable law;
threatens, stalks, harasses, bullies, intimidates, or abuses another person;
encourages violence or credible threats of physical harm;
exploits, sexualizes, or endangers minors;
contains child sexual abuse material;
contains nonconsensual intimate imagery or sexually explicit deepfakes;
is pornographic or primarily intended for sexual gratification;
promotes hatred or violence based on protected characteristics;
is fraudulent, deceptive, defamatory, or materially misleading;
impersonates another individual, business, organization, or government entity;
infringes intellectual property, privacy, publicity, or other rights;
reveals another person’s private or sensitive information without authorization;
promotes illegal goods, services, or conduct;
contains malware, malicious code, phishing, or security exploits;
attempts to scrape or harvest user data without authorization;
attempts to artificially manipulate rankings, views, engagement, votes, entries, or other metrics;
interferes with security, moderation systems, access controls, or technical limitations;
uses bots, scripts, automation, or automated agents in an unauthorized manner;
constitutes spam or unsolicited commercial messaging;
promotes scams, fraudulent investments, or pyramid schemes;
manipulates or fraudulently attempts to obtain prizes, offers, or promotional benefits; or
creates a material safety, security, legal, or operational risk to South East Idaho, its users, businesses, or community.

This list is not exhaustive.

5. User Content

“User Content” means information or content submitted, created, uploaded, published, or transmitted by users through the Service, including posts, comments, photographs, videos, reviews, messages, event information, listings, and profile content.

Your Ownership

You retain ownership of your User Content.

By submitting User Content, you grant South East Idaho a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, process, modify for technical or formatting purposes, display, distribute, transmit, and otherwise use your User Content as reasonably necessary to operate, promote, secure, moderate, and improve the Service.

This license does not transfer ownership of your User Content to us.

The license generally ends after your User Content is deleted from our active systems, except where copies reasonably remain in backups, security records, moderation records, legal records, or where retention is required by law.

Your Responsibilities

You represent that:

you own your User Content or possess the necessary rights to submit it;
submission of your User Content does not violate another person’s rights;
your User Content complies with these Terms; and
factual statements you make regarding people, businesses, services, products, or events are made in good faith.

You are responsible for your User Content.

6. Content Moderation

We may review, filter, restrict, remove, label, reduce distribution of, or disable access to User Content when we reasonably believe it:

violates these Terms;
violates applicable law;
creates a safety or security concern;
infringes another person’s rights;
is fraudulent or misleading;
threatens the integrity of the Service; or
is otherwise inappropriate for the Service.

We may warn, restrict, suspend, or terminate accounts.

We may use automated systems, artificial intelligence, human reviewers, or a combination of methods to assist with moderation.

Moderation requires judgment. We do not guarantee that we will detect every violation or that every moderation decision will be correct.

Users may report content or other users through functionality provided within the Service or by contacting support@southeastidaho.app.

Users may block other users where blocking functionality is provided.

7. Nonconsensual Intimate Images

South East Idaho prohibits the publication or distribution of intimate images or videos without the depicted person’s consent, including AI-generated or digitally altered intimate depictions.

Requests for removal may be submitted through our in-app reporting functionality or to support@southeastidaho.app.

Requests should provide sufficient information for us to identify and locate the content.

We will process qualifying requests as required by applicable law.

We may immediately remove content or suspend accounts when we reasonably believe urgent action is appropriate.

8. Copyright Policy

South East Idaho respects intellectual property rights.

If you believe User Content available through the Service infringes your copyright, you may submit a copyright complaint to support@southeastidaho.app.

The complaint should include:

identification of the copyrighted work;
identification and location of the allegedly infringing material;
your contact information;
a statement that you have a good-faith belief the disputed use is not authorized by the copyright owner, its agent, or law;
a statement that the information in your notice is accurate and, under penalty of perjury, that you are authorized to act for the copyright owner; and
your physical or electronic signature.

We may remove or disable access to material in response to appropriate infringement notices.

We maintain a policy of terminating, in appropriate circumstances, users who repeatedly infringe intellectual property rights.

Where applicable, users may submit legally valid counter-notifications concerning removed content.

9. Local Businesses, Listings, Events, and Third Parties

The Service may contain information concerning local businesses, organizations, events, products, services, discounts, offers, and third parties.

Unless expressly stated otherwise:

South East Idaho does not own or operate listed businesses;
inclusion does not constitute an endorsement;
information may originate from users, businesses, publicly available information, or automated systems;
hours, prices, availability, offers, and event information may change; and
we do not guarantee third-party information is complete, current, or accurate.

You should verify important information directly with the relevant business or organization.

Transactions between you and third parties are between you and those third parties.

10. Advertising and Sponsored Content

The Service may contain advertisements, sponsorships, promoted posts, business listings, offers, or other commercial content.

Sponsored or paid content may be identified using labels such as “Sponsored,” “Ad,” “Promoted,” or similar terminology.

Local businesses or sponsors do not control our editorial, community, or moderation decisions merely because they advertise with us.

11. Subscriptions and Paid Features

We may offer paid subscriptions or premium functionality, including an advertising-free experience.

If you purchase through the Apple App Store, Google Play, or another application marketplace, billing, renewal, cancellation, and refund procedures may additionally be governed by that platform.

Unless otherwise disclosed when you purchase:

subscriptions renew automatically until canceled;
you will be charged the price shown at purchase;
you may cancel through the platform through which you subscribed; and
cancellation generally takes effect after the current paid billing period.

Deleting the South East Idaho application does not automatically cancel a subscription.

We may change subscription prices in accordance with applicable law and app-store requirements.

12. Sweepstakes, Giveaways, and Promotions

South East Idaho may conduct sweepstakes, contests, drawings, giveaways, and other promotions (“Promotions”).

Each Promotion may be subject to separate Official Rules specifying:

eligibility;
geographic restrictions;
entry periods;
entry methods;
maximum entries;
prizes;
approximate retail value;
winner selection;
odds;
verification requirements;
winner notification;
tax obligations; and
other terms.

If these Terms conflict with applicable Official Rules, the Official Rules govern that Promotion.

No Purchase Necessary

NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR ODDS OF WINNING.

Purchasing a South East Idaho subscription or other paid feature will not increase the odds of winning a sweepstakes.

Promotions may permit participants to earn multiple entries through qualifying free activities as specifically described in the Official Rules.

Creating fraudulent accounts, automating entries, falsifying eligibility, manipulating qualifying activity, colluding to generate entries, or otherwise circumventing Promotion rules may result in disqualification, forfeiture of a prize, account suspension, or account termination.

Potential winners may be required to verify:

identity;
age;
Southeast Idaho residency or other geographic eligibility;
compliance with the applicable Official Rules; and
other legally required information.

Winners are responsible for applicable taxes unless the law requires otherwise.

13. Location-Based Features

Certain features may use approximate or precise device location, subject to your permissions, to provide locally relevant content, offers, businesses, events, Promotion functionality, or other location-based features.

You control device-level location permission through your device’s operating-system settings.

Location information may be delayed, inaccurate, or unavailable.

Do not rely on South East Idaho for emergency navigation, emergency services, personal safety, or other safety-critical purposes.

14. Artificial Intelligence Features

South East Idaho may use artificial intelligence systems, including technology provided by third-party AI providers such as OpenAI, to provide features including:

content recommendations;
summaries;
generated or assisted content;
search;
classification;
moderation assistance;
information organization; and
other AI-enabled functionality.

AI systems can produce inaccurate, incomplete, outdated, misleading, or inappropriate information.

You should independently verify important information.

AI output provided through South East Idaho does not constitute legal, medical, financial, investment, emergency, or other professional advice.

We do not guarantee the accuracy or reliability of AI-generated output.

15. Notifications

If enabled, South East Idaho may send push notifications regarding:

community activity;
account activity;
local information;
local events;
Promotions and giveaways;
recommendations;
offers;
security matters; and
other Service functionality.

You may manage push notifications through your device or in-app settings where provided.

16. Privacy

Our collection, use, and disclosure of personal information are described in the South East Idaho Privacy Policy.

17. Account Suspension and Termination

You may stop using the Service at any time.

Where account functionality is provided, you may request or initiate account deletion through the Service.

We may restrict, suspend, or terminate accounts when we reasonably believe:

these Terms have been violated;
an account creates a security or safety risk;
an account is fraudulent;
conduct exposes users or South East Idaho to legal liability;
a user repeatedly infringes intellectual property rights; or
restriction is reasonably necessary to protect the Service or community.

Urgent action may be taken without advance notice.

Sections that should logically survive termination, including intellectual-property provisions, disclaimers, limitations of liability, indemnification, and dispute-resolution provisions, will survive.

18. Ownership of South East Idaho

Except for User Content and third-party materials, South East Idaho App LLC and its licensors own all rights in the Service, including its software, source code, interfaces, databases, graphics, designs, trademarks, logos, branding, algorithms, and other proprietary materials.

We grant you a limited, revocable, personal, non-exclusive, non-transferable license to use the Service for its intended purpose.

Except where applicable law expressly permits it, you may not copy, reverse engineer, sell, sublicense, distribute, exploit, or create derivative works from the Service.

19. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

SOUTH EAST IDAHO APP LLC DISCLAIMS EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AND AVAILABILITY.

WE DO NOT WARRANT THAT:

THE SERVICE WILL ALWAYS BE AVAILABLE;
INFORMATION WILL ALWAYS BE ACCURATE;
THE SERVICE WILL BE ERROR-FREE;
ALL DEFECTS WILL BE CORRECTED;
ALL PROHIBITED CONTENT WILL BE DETECTED;
USERS WILL BEHAVE APPROPRIATELY;
BUSINESSES OR EVENTS WILL PERFORM AS DESCRIBED; OR
THE SERVICE WILL MEET EVERY USER’S EXPECTATIONS.

Some jurisdictions do not permit certain exclusions, so portions of this section may not apply to you.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUTH EAST IDAHO APP LLC AND ITS MEMBERS, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OR FOR LOSS OF PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES ARISING FROM OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF SOUTH EAST IDAHO APP LLC ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

(A) $100; OR

(B) THE AMOUNT YOU PAID DIRECTLY TO SOUTH EAST IDAHO DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply where applicable law prohibits them.

21. Arbitration Agreement and Class Action Waiver

Agreement to Arbitrate

Except for disputes expressly excluded below, you and South East Idaho App LLC agree that disputes arising from or relating to these Terms or the Service will be resolved by individual binding arbitration rather than litigation in court.

The Federal Arbitration Act governs this arbitration provision.

Informal Dispute Resolution

Before commencing arbitration, the party asserting a dispute must send written notice describing the claim and requested relief.

Notices to South East Idaho should be sent to support@southeastidaho.app.

The parties agree to attempt in good faith to resolve the dispute informally for at least 30 days.

Arbitration

If the dispute remains unresolved, either party may commence individual arbitration administered by the American Arbitration Association (“AAA”) under the applicable Consumer Arbitration Rules.

The arbitration may occur remotely unless an in-person hearing is reasonably necessary.

South East Idaho will pay arbitration fees to the extent required by applicable law and applicable arbitration rules.

Exceptions

Either party may:

bring an eligible individual claim in small claims court; or
seek temporary or emergency injunctive relief when reasonably necessary to prevent unauthorized system access, security breaches, intellectual-property infringement, or immediate irreparable harm.

Nothing in this section eliminates rights or remedies that applicable law makes non-waivable.

Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND SOUTH EAST IDAHO APP LLC AGREE THAT EACH PARTY MAY ASSERT CLAIMS ONLY IN AN INDIVIDUAL CAPACITY.

NEITHER PARTY MAY PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN A CLASS ACTION, CLASS ARBITRATION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION, EXCEPT WHERE APPLICABLE LAW CREATES A NON-WAIVABLE RIGHT TO DO SO.

Jury Trial Waiver

To the extent a dispute is permitted to proceed in court, each party waives trial by jury to the extent permitted by law.

30-Day Arbitration Opt-Out

You may opt out of this arbitration agreement by emailing support@southeastidaho.app within 30 days after first accepting these Terms.

Your request must include:

your name;
the email address associated with your South East Idaho account; and
a clear statement that you are opting out of the arbitration agreement.

Opting out of arbitration will not prevent you from using the Service.

22. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless South East Idaho App LLC and its members, employees, contractors, officers, agents, and affiliates from third-party claims, damages, liabilities, and reasonable expenses arising from:

your User Content;
your material violation of these Terms;
your infringement of another person’s rights; or
your unlawful use of the Service.

You are not required to indemnify South East Idaho for claims resulting from South East Idaho’s own gross negligence, willful misconduct, or unlawful conduct.

23. Governing Law

Except where federal law or Section 21 applies, these Terms are governed by the laws of the State of Idaho without regard to conflict-of-law principles.

Any dispute that is properly permitted to proceed in court will be heard in an Idaho state or federal court having proper jurisdiction, except where applicable consumer law requires otherwise.

24. Changes to the Service

We may add, modify, suspend, or discontinue features of the Service.

We do not guarantee that any particular free feature will remain available permanently.

Where reasonably practicable, we will provide notice before materially discontinuing functionality for which users have prepaid.

25. Changes to These Terms

We may update these Terms.

If a change materially affects your rights or obligations, we will provide reasonable notice through the Service, email, or another appropriate mechanism.

The updated Terms will identify their effective date.

Continued use of the Service after revised Terms become effective constitutes acceptance where permitted by law.

26. General Provisions

If part of these Terms is found unenforceable, the remaining provisions remain effective.

Failure to enforce a provision does not waive our right to enforce it later.

You may not assign these Terms without our consent.

South East Idaho App LLC may assign these Terms in connection with a merger, acquisition, financing, restructuring, or sale of all or part of its business or assets.

These Terms, our Privacy Policy, applicable Promotion Official Rules, and any feature-specific supplemental terms constitute the agreement between you and South East Idaho concerning the Service.
